Shareholders agreements are essential for any company and deal with the rights of the shareholders in respect of the assets and profit distributions of the company and the exposure to risk that their investment will face. Matters to consider include whether to create different classes of shares with different voting rights, entitlement to profits/capital/exposure to risk; and what duties a shareholder should have to comply with when selling their shareholding (i.e. should other shareholders have first refusal or an option to purchase etc).
