Company Formations

One of the most common requests we get is questions on how to form a company. There are two methods of achieving this:

Firstly, you can purchase a ready made 'shelf' company from a registration agent. However this can be expensive and you do not always get exactly what you want.

Alternatively, there is the 'tailor made' option which can be more complex but achieve the aim of giving you a company that can do exactly what you require.

This is a relatively simple procedure:

Firstly gather together at least four or five names that you want to call your company. Then check their availability against the Companies House Website.
2.
Once you have chosen your company's name, then you will need to complete the Forms 10 and 12 which can be downloaded from the Companies House website.
3.
You will also need to complete the company's constitutional documents which consist of the Memorandum of Association and the Articles of Association. These documents will largely govern what the company can or cannot do and are usually prepared by professionals. A basic version can be obtained from a Law Stationers which can then be amended.
4.
Finally, once the necessary documents and company constitutional documents have been completed they will need to be sent to Companies House along with the required fee.
5.
Once the documents have been approved you will receive a certificate of Incorporation confirming that the company has been registered.
